General Terms and Conditions (AGB)

1. Scope of Services
These General Terms and Conditions (AGB) apply to all contracts between Anderson Timana (hereinafter “Contractor”) and his clients (hereinafter “Client”) regarding technical strategy, forensic audits, web development, and infrastructure management.
2. Payment Terms & Deadlines
The Contractor operates on a fixed-unit and subscription basis. All prices are expressed in Euros (€).
- Forensic Audits (Blueprint & Growth): 100% upfront payment is required to secure the engagement slot.
- Web Development & Migrations: A 50% upfront deposit is required to commence work. The remaining 50% is due upon completion and before final asset handover.
- Website Insurance (Maintenance): Payments must be received by the last working day of the current month to ensure coverage for the following month.
- Implementation Services: Monthly retainer of €3,000 (or as defined by equity contract) is due at the beginning of each billing cycle.
3. Project Commencement & Access Obligations
The project timeline and “First Day of Management” officially begin only when the Contractor confirms receipt of all required technical accesses (e.g., Cloudflare, Hosting, Google Search Console, etc.).
- On-Hold Status: Projects where payment has been received but access is missing are considered “On Hold.”
- Project Abandonment: If the Client fails to provide the requested access within 28 calendar days, the project is considered abandoned.
- Reactivation Fee: A fine of €500 will be charged to reactivate an abandoned project.
4. Intellectual Property & Transfer of Rights
- Client Assets: The Client retains all intellectual property rights to their existing brand assets, content, and proprietary data.
- Contractor Deliverables: Rights to the “Digital Bedrock,” technical blueprints, and custom code are transferred to the Client only upon full payment of all outstanding invoices.
- Access Handover: Full administrative access to the delivered infrastructure is granted strictly after final payment is confirmed.
5. Acceptance (Abnahme)
Upon delivery of a project or milestone, the Client has 7 business days to review the work and report any deviations from the agreed scope. If no written objection is received within this period, the work is considered legally accepted and final.
6. Liability Limitation
The Contractor is liable without limitation for damages resulting from injury to life, body, or health, as well as for damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit).
In cases of slight negligence (leichte Fahrlässigkeit), the Contractor is only liable for the breach of essential contractual obligations (Kardinalpflichten)—duties whose fulfillment is a prerequisite for the proper execution of the contract and on whose observance the Client may regularly rely. In this case, the Contractor’s liability is limited to the foreseeable, typically occurring damage (vorhersehbarer, vertragstypischer Schaden). Any further liability for damages is excluded.
7. Final Provisions
Amendments to these terms must be made in writing. Should any provision of these AGB be invalid, the validity of the remaining provisions remains unaffected. The place of jurisdiction is Halle (Saale), Germany.
